By engaging with TENET Automation ("TENET", "we", "us", or "our"), you agree to be bound by the following terms and conditions. Please read these terms carefully before initiating any project assessment or service agreement.
1. Engagement Protocol
Our engagement begins with a technical assessment and briefing. We reserve the right to decline projects that do not align with our engineering capabilities or ethical standards. An engagement is only formalized once a project scope and technical roadmap have been mutually agreed upon in writing.
2. Intellectual Property
Upon final payment and project delivery:
- The Client maintains full ownership of all custom-built digital infrastructure and technical assets delivered.
- TENET retains the right to use non-proprietary logic patterns and general engineering methodologies developed during the project for other clients.
- Any third-party tools or licenses required for the system are the responsibility of the Client unless otherwise stated in the project brief.
3. Service Delivery & Warranty
We commit to delivering systems that meet the agreed-upon technical specifications. Each project includes:
- Rigorous stress testing and verification prior to deployment.
- A 30-day stabilization period starting from the date of final handover.
- One round of revisions within the original project scope.
4. Payment & Refunds
Payments are structured based on project milestones. A deposit is typically required to initiate development. If we are unable to deliver the agreed-upon scope due to internal technical failure, a full refund of the current milestone payment will be issued.
5. Limitation of Liability
TENET is not liable for operational losses resulting from third-party API changes, service outages of external tools, or misuse of the delivered system by the Client. Our total liability is limited to the amount paid for the specific service provided.
6. Confidentiality
We treat all Client data and operational workflows with the highest level of confidentiality. We will not share sensitive business information with third parties without explicit written consent.
7. Termination
The engagement may be terminated by either party under the following protocols:
- The Client may terminate the project at any stage. Any milestone payments already completed are non-refundable, and TENET will provide all completed assets and code generated up to the termination date.
- TENET reserves the right to suspend or terminate services if the project becomes technically infeasible due to third-party API changes, if the Client breaches these terms, or if essential project data is withheld.
- Upon termination, any outstanding balances for work already performed must be settled within 7 business days.
